1. Introduction

Welcome to Bələdçi (Beledci.az). By accessing our website (https://beledci.az) or using our mobile applications (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, you must immediately discontinue use of the Service.

2. User Accounts

2.1. Registration: To access features such as writing reviews or checking in, you must register an account using a valid phone number. You agree to provide accurate, current, and complete information during registration.

2.2. Security: You are responsible for maintaining the confidentiality of your login credentials (including OTP codes). You are fully responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use or security breach.

2.3. Termination: We reserve the right to suspend or terminate your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

3. User-Generated Content (Reviews, Photos, Comments)

3.1. Ownership & License: You retain ownership of the content you submit (reviews, photos, comments). However, by submitting content, you grant Bələdçi a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in any media.

3.2. Content Standards: You agree strictly NOT to post content that:

Is illegal, defamatory, obscene, pornographic, invasive of privacy, or threatening.
Constitutes spam, commercial solicitation, or mass mailing.
Contains malware, viruses, or malicious code.
Infringes upon the intellectual property rights of any third party.

3.3. Moderation & AI Screening:

Automated Review: We use automated systems (including on-device AI technology) to scan images and text for inappropriate content (e.g., NSFW material, hate speech) before or after publication.

Right to Remove: We reserve the right (but have no obligation) to monitor, edit, or remove any content at any time for any reason, including but not limited to violation of these content standards.

3.4. No Endorsement: Reviews and ratings reflect the opinions of individual users and do not represent the views of Bələdçi. We do not verify the accuracy of user reviews.

4. Company Rights & Disputes

4.1. Right of Reply: Verified company representatives may respond to reviews. Responses must adhere to our content guidelines and remain professional.

4.2. Dispute Resolution: Companies disputing a review may submit a report via our formal reporting tools. Bələdçi’s decision regarding content removal is final and at our sole discretion.

4.3. Indemnification: Companies and users agree to indemnify and hold harmless Bələdçi, its affiliates, officers, and employees from any claims, damages, liabilities, costs, or expenses (including legal fees) arising from their use of the Service or violation of these Terms.

5. Intellectual Property

5.1. Our IP: All content provided by Bələdçi (logos, graphics, software, code, compilation of data) is the property of Bələdçi or its licensors and is protected by copyright and intellectual property laws.

5.2. Restrictions: You may not extract, scrape, or reproduce substantial parts of our database (e.g., company lists, review aggregations) without our express written consent.

6. Prohibited Activities

You agree not to:

Use the Service for any unlawful purpose.
Attempt to reverse engineer, decompile, or disassemble any part of our software.
Use automated scripts to collect information from or otherwise interact with the Service.
Harass, bully, or intimidate other users.

7. Disclaimers & Limitation of Liability

7.1. "As Is" Basis: The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, expressed or implied, regarding the operation of the Service or the accuracy of information content.

7.2. Limitation of Liability: To the fullest extent permitted by law, Bələdçi shall not be liable for any direct, indirect, incidental, special, or consequential damages resulting from your use or inability to use the Service, including but not limited to reliance on any information obtained from the Service.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Azerbaijan, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Baku, Azerbaijan.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via the Service or email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
